DijiMai Terms of Service

These Terms of Service (the "Terms") govern the subscription of "DijiMai Email Delivery & Archiving Service" (the "Service") provided by Ultra Quantum e-ware Research (UQER) (the "Company") by paid users (the "User"). The Service is strictly intended for Business-to-Business (B2B) use by corporations, legal entities, partnerships, studios, or professional developers for commercial or developmental purposes. The Service is NOT open to individual consumers (B2C).
1. Service Description and Eligibility
These Terms of Service (the "Terms") govern the subscription of "DijiMai Email Delivery & Archiving Service" (the "Service") provided by Ultra Quantum e-ware Research (UQER) (the "Company") by paid users (the "User"). The Service is strictly intended for Business-to-Business (B2B) use by corporations, legal entities, partnerships, studios, or professional developers for commercial or developmental purposes. The Service is NOT open to individual consumers (B2C).
2. Legal Compliance
The User must comply with international laws, intellectual property rights, and internet conventions when using the Service. Should judicial or authorized authorities request assistance in investigations following legal procedures, the Company will provide necessary data in accordance with relevant laws.
3. Indemnification
If the User violates any provision of these Terms or relevant laws, resulting in damage or expenses (including but not limited to attorney fees incurred in civil, criminal, or administrative proceedings) to the Company, its affiliates, or agents, the User shall be liable for damages or reimbursement of such expenses.
4. Anti-SPAM Policy
The User guarantees normal use of the Service. Sending SPAM is strictly prohibited. If the User's actions (e.g., sending SPAM resulting in IP blacklisting) cause damage to the Service's servers or network, or result in performance degradation, the Company reserves the right to suspend the Service or restrict performance privileges without any extension of the service period or refund.
5. Scope of Service
The Service provides email delivery and EDI archiving. The Company is responsible only for the technical operation of the platform and shall not be held liable for any legal actions arising from the content of the User's emails.
6. Force Majeure and Backup
The Company shall maintain the normal operation of the system under normal conditions. However, under force majeure (e.g., large-scale cloud provider outages), the Company does not guarantee the absolute maintenance of data. Users shall be responsible for their own backups on local or other remote environments.
7. Transmission Disclaimer
The Service is accessed via the Internet. The Company does not guarantee absolute transmission speed, accuracy, or integrity. The Company shall not be liable for any direct or indirect losses caused by network environments or third-party nodes.
8. Cybersecurity Disclaimer
The Company shall not be liable for direct or indirect losses arising from the User's own system being intruded, damaged, tampered with, or data being intercepted by third parties via the Internet.
9. User Maintenance Obligation
The User is responsible for maintaining their own equipment and systems (such as API integration programs). The Company is not responsible for losses caused by User-side system errors, equipment failure, or poor quality of leased physical lines.
10. Data Changes and Privacy
The User shall notify the Company of any changes to contact information. The collection, processing, and use of User data by the Company are conducted in accordance with the "Privacy Policy" published on the official website.
11. Service Modification and Termination
The Company may suspend or terminate all or part of the Service due to changes in circumstances or business needs. The Company shall announce and notify the User one month prior to the scheduled suspension or termination.
12. Charges, Refunds and Cancellation Policy
This Service is provided on a prepaid subscription basis.
Free Trial: New subscribers are entitled to a free trial period during which the daily sending allowance is limited to 5 emails. The trial may be terminated at any time without charge.
Statutory Right to Cancel — Initial Subscription: Subscribers paying via Paddle hold a statutory right to cancel and receive a full refund within 14 calendar days of the date of the first subscription payment, in accordance with the Consumer Rights Act 2015. Notwithstanding the foregoing, where a subscriber expressly requests that the Service be made available before the expiry of the 14-day cancellation period by ticking the "Activate service immediately" acknowledgement at the point of purchase, the subscriber thereby waives their statutory right of cancellation in respect of that initial payment.
Subsequent Subscription Periods: The statutory right to cancel under the Consumer Rights Act 2015 does not apply to automatic renewal payments following the initial subscription term. Subscribers may terminate their subscription at any time; upon termination, access to the Service shall continue until the end of the then-current billing period. No pro-rata refund shall be made in respect of any unexpired portion of a subscription period.
Annual Subscription — Renewal Right: Where a subscriber located in the United Kingdom holds an annual Subscription, a fresh 14-day statutory cancellation period shall arise on the date upon which the Subscription automatically renews for a further annual term. This right arises afresh upon each annual renewal.
Service Failure Exception: In the event that the Service is rendered wholly unavailable by reason of a material technical failure attributable to the Company, the Company shall issue a pro-rata refund calculated by reference to the number of days during which the Service was unavailable.
Save as expressly provided above, and having regard to the fixed costs necessarily incurred by the Company upon activation of the Service (including third-party software licence fees and cloud infrastructure provisioning costs), all sums paid by the subscriber outside the applicable cancellation window are non-refundable.
13. Immediate Commencement of Service and Business Use Warranty
New subscribers are entitled to a free trial period during which the daily sending allowance is limited to 5 emails. Where a subscriber does not upgrade to a paid subscription plan prior to the expiry of the trial period, the Service shall automatically terminate.
At the point of purchase, subscribers shall be required to expressly confirm the following acknowledgement by ticking the relevant box: "I request that DijiMai commences provision of the Service immediately upon payment. I acknowledge that, by making this request, I lose my right to cancel under the Consumer Rights Act 2015 in respect of this transaction."
By registering for or purchasing the Service, the subscriber warrants that the Service is being acquired solely for the purposes of a business, trade, craft or profession, and accordingly agrees that the provisions of the Consumer Rights Act 2015 conferring cancellation and refund rights upon consumers do not apply to the subscriber's use of the Service.
14. Data Handling After Termination
Before termination, the User shall back up their emails and archive data. The Company will purge all data after termination, and shall not be liable for any resulting losses.
15. Late Payment
For renewed subscriptions, payments overdue by more than one month shall incur a monthly late interest of 1.5%. The Company reserves the right to terminate the User's account.
16. Exclusive Domain Regulations
If the Service is used with a "Private Domain," the User may not claim a refund or extension if the Service is disrupted due to incorrect DNS settings or domain expiration on the User's side.
17. International Standards and Legality
The content and programs used by the User must comply with international internet practices and the laws of the respective countries. The User shall bear all legal responsibilities, attorney fees, and the Companys loss of reputation arising from any third-party litigation.
18. System Security Code of Conduct
To maintain system stability, the User shall:
(1) Not send any SPAM or electronic messages that may cause system obstacles.
(2) Not execute programs that consume excessive CPU, memory, or bandwidth.
(3) Not use the storage space for purposes unrelated to email delivery and archiving. The Company reserves the right to take emergency measures or terminate the Service without notice for violations.
19. Governing Law
The interpretation and application of these Terms shall be governed by the spirit of international laws and the laws of the Republic of China (Taiwan).
20. Jurisdiction
Any disputes arising from the Service shall be subject to the exclusive jurisdiction of the Taipei District Court in the first instance.
